Cloud Services Agreement sets out the terms and conditions governing Customer’s procurement of cloud services from your business. Cloud Services” means, collectively software as a service offerings, programs and applications and all other cloud offerings that your business makes available to the public. Charges are subscription-based depending on the unit of Services and Content purchased and not actual usage, payment obligations are non-cancellable, fees paid are usually non-refundable and quantities purchased cannot be decreased during the relevant subscription term.In general, the cloud agreement will cover sections on “Customer Agreement, Availability, Privacy, Acceptable Use Policy, and Service Level Agreement to mention but a few.

 

PURPOSE

 

This document should be used when and if Customer is procuring a cloud-based solution, a Software-as-a-Service (SaaS) offering from your business. Both parties will need to execute a Service Contract detailing the Service Specification, description and quantity of Service ordered and other terms of Service. It is important for both parties to pay attention to the language used in these agreements. Badly worded clauses can radically alter the meaning of a clause translating into financial loss for either party. The best time to pick on the error is prior to the execution of the Agreement.
